# Terms of Use

> Terms governing access to and use of Refero.

These Terms of Use ("Terms") govern your access to and use of Refero, including the Refero website, search and reference library, bookmarks, boards, team features, research chat, MCP and API access, and related services (collectively, the "Service").

Except for legacy relationships described below, the Service is provided under these Terms by Refero Inc., a Delaware corporation ("Refero", "we", "us", or "our"). If an existing agreement, checkout, invoice, or receipt identifies another entity for a legacy subscription, that entity may remain the contracting seller and remain responsible for the sale and related billing and tax obligations until you are notified otherwise. By accessing or using the Service, creating an account, starting a subscription, or otherwise accepting these Terms, you agree to them. If you do not agree, do not use the Service.

Some features, plans, APIs, MCP access, enterprise arrangements, or promotions may be subject to additional written terms, order forms, or product-specific terms. If those terms conflict with these Terms, the more specific terms control for the affected feature or arrangement.

## 1. Who may use Refero

You may use the Service only if you are at least 18 years old, can form a binding contract with Refero, and are not prohibited from using the Service under applicable law. You are responsible for making sure your use of the Service is lawful in the place where you use it.

The Service is not directed to children or minors. You may not use the Service if you are under 18 years old.

## 2. Your account

You may need an account to use certain parts of the Service. You are responsible for:

* providing accurate account information;
* keeping your login credentials and authentication methods secure;
* all activity that occurs under your account;
* promptly notifying us if you believe your account has been compromised.

Unless your plan or a separate written agreement expressly allows shared seats or team access, each account is for one named user. You may not share, sell, rent, sublicense, or otherwise provide account access to another person or third party.

We may use email-based authentication, Google sign-in, or other authentication methods. You authorize us to use the information provided through those methods to create, secure, and operate your account.

## 3. The Service

Refero helps users browse, search, save, and analyze design references, including web pages, app screens, flows, projects, boards, and related metadata. The Service may also include AI-assisted research features, image upload features, team collaboration features, and MCP or API access.

We may add, change, limit, or discontinue features at any time. We may also set technical limits, including limits on storage, upload size, search, exports, MCP/API usage, or AI usage. The Service is not intended to be your only backup or archive for important materials, and you are responsible for keeping copies of content you need outside the Service.

## 4. Plans, subscriptions, and payments

Some parts of the Service are free, and some require a paid subscription or separate paid access. Prices, plan features, billing intervals, taxes, seat counts, and renewal terms are shown at checkout or in the relevant billing flow. Unless stated otherwise, listed prices exclude taxes, duties, currency conversion fees, and payment processor fees that may apply.

Unless stated otherwise at checkout:

* subscriptions renew automatically until canceled;
* you authorize us and our payment processors to charge the applicable fees, taxes, and other amounts for each billing period;
* paid access begins when the subscription or payment is successfully processed;
* fees are charged in advance for the applicable billing period.

We currently use Stripe for new payments. Some legacy subscriptions may continue to be managed through Lemon Squeezy. The payment processor may offer additional payment methods, such as cards, wallet payments, or local methods, depending on your location and the checkout configuration.

You are responsible for keeping your billing information current. If a payment fails, we may retry the charge, ask you to update your payment method, limit access to paid features, or cancel or suspend your subscription.

We may change subscription fees, plan features, or billing terms. If a change materially increases the price of your existing subscription or materially changes renewal terms, we will provide notice and an opportunity to cancel before the change takes effect where required by law.

For team plans, seat-based plans, or usage-based features, we may charge for added seats, increased usage, plan upgrades, or other changes as described in the checkout, billing page, order form, or product interface. If you believe a charge is incorrect, contact [support@refero.design](mailto:support@refero.design) so we can review it. If a payment is reversed, remains unpaid, or is reasonably suspected to be fraudulent, we may suspend the related paid access while the matter is resolved.

## 5. Trials and promotional offers

Refero does not currently offer a general free trial unless a trial or promotional offer is expressly presented to you in the checkout flow, offer page, account interface, or a written offer from Refero.

If we offer a trial, discount, or promotional period, the specific terms of that offer will be shown with the offer, including the trial length, price after the trial, billing date, cancellation method, and any restrictions. If a trial converts to a paid subscription, you authorize us to charge you when the trial ends unless you cancel before the deadline shown with the offer.

We may change or discontinue future trials and promotions. Changes do not affect any rights that applicable law requires us to honor.

## 6. Cancellation

You may cancel your subscription through the available billing or account management flow, or by contacting [support@refero.design](mailto:support@refero.design). Where required by law, if you enrolled online, we will provide an online cancellation method. Cancellation stops future renewal charges, but it does not automatically refund amounts already paid.

After cancellation, you may continue to access paid features until the end of your current paid billing period unless your access is suspended or terminated under Section 17.

If your subscription is managed by a third-party payment processor, you may need to complete cancellation through that processor's billing portal or checkout management flow.

## 7. Refund policy

Except where required by applicable law, payments are non-refundable and we do not provide refunds or credits for partial billing periods, unused time, unused seats, forgotten cancellations, downgrade requests, or features that you did not use.

We may choose to issue a refund, credit, or other accommodation in a particular case. Doing so does not create a right to receive the same treatment in the future.

To request a refund or billing review, contact [support@refero.design](mailto:support@refero.design) and include the email associated with your account, the charge date, and the reason for the request.

Nothing in these Terms limits any mandatory refund, cancellation, cooling-off, or consumer rights that apply to you under your local law.

## 8. Teams and shared workspaces

If you create, administer, join, or use a team, shared board, shared folder, or shared workspace, you are responsible for the content and users you invite or manage. Team admins may be able to invite or remove users, manage seats, view shared content, and manage billing or team settings.

If you join a team, your account information and activity related to that team may be visible to team admins and other team members as needed to provide the team features.

If a team subscription is canceled, unpaid, or terminated, we may limit team access, remove paid functionality, or delete or restrict team content according to our retention practices and applicable law.

## 9. User content and uploads

"User Content" means content you submit, paste, import, save, or otherwise provide to the Service, including images attached to Research or visual search, prompts, chat messages, board content, folder names, notes, and other materials. User Content does not include screens selected and added by Refero to the curated reference library.

You retain ownership of your User Content. You grant Refero a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, display, transmit, format, modify, create technical derivatives of, and otherwise use your User Content as needed to provide, secure, maintain, troubleshoot, and improve the Service. This license includes the right to process User Content through service providers and subprocessors, including hosting, storage, analytics, security, support, and AI providers, as needed to provide the Service.

This license does not give Refero ownership of your User Content. We do not need your permission to use aggregated or de-identified information that does not reasonably identify you or your confidential content.

Images attached to Research or visual search do not become part of Refero's curated reference library. They may be stored at link-accessible URLs, and anyone who obtains the URL may be able to view the image. Do not attach confidential or sensitive material unless this access model is appropriate for your use.

You represent that you have the rights needed to submit User Content and allow us to process it. You may not upload or submit User Content that:

* violates any law or third-party right;
* contains confidential, sensitive, regulated, or personal information that you are not authorized to provide;
* contains malware, harmful code, or security exploits;
* is abusive, deceptive, defamatory, obscene, or otherwise harmful;
* attempts to bypass technical limits or access controls.

We may remove or restrict User Content if we believe it violates these Terms, applicable law, third-party rights, or the integrity of the Service.

## 10. Refero content and reference materials

The Service includes design references, screenshots, metadata, tags, descriptions, flows, site or app information, and other content selected, added, organized, generated, or displayed by Refero ("Refero Content"). Users cannot add screens to the curated reference library through User Content features.

Refero Content is provided for design research, inspiration, comparison, education, and reference. Screenshots, logos, trademarks, product names, and other third-party materials remain the property of their respective owners. Their inclusion in Refero does not imply endorsement, sponsorship, or affiliation.

You may use Refero Content through the Service for lawful design research, inspiration, internal reference, and ordinary product design work permitted by your plan or agreement. Unless we expressly allow it, you may not:

* resell, redistribute, sublicense, or commercially syndicate Refero Content;
* use scraping, crawling, automation, or systematic extraction to copy Refero Content outside documented download features;
* use Refero Content to train, fine-tune, evaluate, or improve machine learning models or datasets;
* remove attribution, proprietary notices, or source context where provided;
* use third-party screenshots, logos, or trademarks in a way that infringes or misleads.

These restrictions do not prevent you from using insights you learn from Refero to research, design, build, or improve your own products, websites, apps, interfaces, workflows, or prototypes, as long as you comply with these Terms and the plan or agreement that applies to your use. For clarity, normal design work and product improvement based on what you learn from Refero are allowed; extracting, republishing, reselling, or turning Refero Content into a competing dataset, repository, or AI/ML asset is not.

You may include Refero Content as reference material in presentations, moodboards, FigJam or Figma files, research boards, and client or internal design work. This permission does not allow you to publish the content as a standalone library or dataset, resell it, or use it to provide a competing product or service.

## 11. Copyright and takedown requests

Refero respects intellectual property rights. If you represent a company or rights holder and want content removed, corrected, or reviewed, contact [support@refero.design](mailto:support@refero.design) or follow our [Copyright Policy](/legal/copyright-policy). A routine request does not need to be a formal copyright notice. Please provide enough information for us to identify the content and perform a basic verification that you represent the company or rights holder. We generally prefer to remove or correct disputed material when a reasonable request can be verified.

We may suspend or terminate accounts that repeatedly use the Service to infringe third-party intellectual property.

## 12. AI-assisted features

Refero may include AI-assisted features, including research chat, content analysis, search assistance, summaries, recommendations, and other generated outputs.

AI features may use third-party routing, model, hosting, and infrastructure providers as described in our [Privacy Policy](/legal/privacy-policy). We may change providers and models subject to applicable law and any applicable Data Processing Addendum or written agreement. We do not guarantee that any specific model or provider will be used for a particular request.

Refero does not use User Content to train general-purpose AI models under its control unless you opt in.

AI outputs may be inaccurate, incomplete, outdated, offensive, or unsuitable for your use case. You are responsible for reviewing and validating AI outputs before relying on them. AI outputs are not legal, financial, medical, security, or other professional advice.

Do not submit sensitive personal data, confidential business information, trade secrets, regulated data, or third-party confidential information to AI features unless you have the right to do so and accept the related processing risks.

AI features are not designed for high-risk, safety-critical, regulated, or automated decision-making uses, including decisions about employment, credit, housing, education, healthcare, insurance, legal rights, or access to essential services.

## 13. MCP and API access

Refero may provide MCP, API, token-based, or other programmatic access to parts of the Service.

Unless an applicable plan, order form, or written agreement states otherwise, MCP or API access included in standard self-service plans may be used for your own internal design research and ordinary product-design work, including commercial work, subject to your plan's limits. Within that allowed use, you may use MCP/API outputs and insights to research, design, build, or improve your own interfaces, workflows, prototypes, websites, apps, or products.

This permission does not allow model training, fine-tuning, benchmarking, dataset creation, model evaluation, or improvement of AI or machine learning systems using Refero Content.

Resale, redistribution, embedding Refero into a customer-facing product, providing Refero data as a service, high-volume automated use, or another product-level integration requires a separate business plan, order form, or written agreement that expressly authorizes that use.

MCP and API access may be subject to request limits, rate limits, fair-use limits, and other technical restrictions. Unless a plan, checkout page, or separate agreement states otherwise, MCP access may be limited to 8,000 requests per monthly usage period. Unused requests do not roll over to future usage periods.

You are responsible for keeping MCP/API tokens, keys, and credentials confidential. You may not publish them, share them with unauthorized parties, embed them in client-side or publicly distributed software, or expose them in a customer-facing product. You are responsible for activity using your tokens until they are revoked or rotated. If you believe a token has been compromised, notify us and rotate or revoke it promptly.

You may not use MCP or API access to:

* build a competing product, dataset, or search index;
* resell, rent, sublicense, or provide Refero data as a service;
* bypass account limits, paywalls, rate limits, or technical controls;
* scrape or bulk extract Refero Content beyond documented or reasonable use;
* use Refero Content for model training, fine-tuning, dataset creation, benchmarking, model evaluation, model improvement, or similar AI/ML development unless we expressly agree in writing;
* interfere with the security, availability, or integrity of the Service.

We may revoke, rotate, throttle, suspend, or limit API or MCP access at any time if we believe it is being misused, creates risk, violates these Terms, or exceeds reasonable use.

## 14. Acceptable use

You may not use the Service to:

* violate any law, regulation, sanctions rule, export control rule, or third-party right;
* infringe copyrights, trademarks, privacy rights, publicity rights, trade secrets, or other rights;
* upload malware, harmful code, spam, phishing content, or deceptive content;
* interfere with or disrupt the Service or its infrastructure;
* reverse engineer, bypass, disable, or circumvent security, paywalls, access controls, or usage limits;
* access accounts, data, systems, or content without authorization;
* use automated tools to scrape, harvest, or bulk extract data except through documented features and within allowed limits;
* misrepresent your identity or affiliation;
* use the Service for unlawful surveillance, discriminatory profiling, or harmful automated decision-making.

You may not use any non-public information about the Service, including unreleased features, security information, private documentation, or business information, except to use or evaluate the Service, and you may not disclose it to others without our permission.

## 15. Intellectual property

Refero and its licensors own the Service, including the software, design, interfaces, databases, search systems, organization, metadata, original content, trademarks, logos, and other intellectual property, except for User Content and third-party materials.

These Terms do not transfer any ownership rights to you. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service as permitted by these Terms and your plan.

If you provide feedback, ideas, suggestions, or requests, you allow us to use them without restriction or compensation.

We may state that people associated with an organization use Refero and may use the organization's name and logo for that limited purpose, based on account or subscription information. The organization or user may ask us to stop. We will not imply official endorsement or disclose user identities, private workspace content, or confidential information.

## 16. Third-party services

The Service may integrate with, link to, or rely on third-party services, including payment processors, authentication providers, analytics providers, AI providers, hosting providers, and external websites. Third-party services are governed by their own terms and privacy policies. We are not responsible for third-party services that we do not control.

## 17. Suspension and termination

We may suspend, limit, or terminate your access to the Service if we reasonably believe you materially violated these Terms, payment is overdue or reversed, suspension is necessary to protect the Service or others, or we are legally required to act. We may also discontinue the Service or a material part of it.

You may stop using the Service at any time. You may request account deletion by contacting [support@refero.design](mailto:support@refero.design). Before canceling or deleting your account, you should export or save any content you want to keep, where export or download functionality is available.

Termination does not relieve you of payment obligations already incurred and does not require us to refund amounts except where required by law.

Sections that by their nature should survive termination will survive, including payment obligations, ownership and intellectual property provisions, content and usage restrictions, confidentiality and non-public information restrictions, disclaimers, limitation of liability, indemnity, dispute terms, and any rights or obligations accrued before termination.

## 18. Disclaimers

The Service and all content are provided "as is" and "as available." To the maximum extent permitted by law, Refero disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and reliability.

We do not guarantee that the Service will be uninterrupted, secure, error-free, accurate, complete, or available at any particular time or location.

## 19. Limitation of liability

To the maximum extent permitted by law, Refero and its directors, officers, employees, contractors, agents, affiliates, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, loss of goodwill, business interruption, or cost of substitute services.

To the maximum extent permitted by law, Refero's total liability for any claim relating to the Service or these Terms will not exceed the amount you paid to Refero for the Service in the 12 months before the event giving rise to the claim.

Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, the limitations apply only to the maximum extent permitted by law.

## 20. Indemnity

You will indemnify Refero and its directors, officers, employees, contractors, agents, affiliates, licensors, and service providers against third-party claims, damages, liabilities, losses, and reasonable costs to the extent arising from your User Content, your material violation of these Terms, or your violation of law or third-party rights.

## 21. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law rules, except where mandatory consumer protection laws require otherwise.

To the maximum extent permitted by law, any dispute relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

Nothing in this section limits rights you may have under mandatory consumer protection law in your country or state of residence.

## 22. General legal terms

If any part of these Terms is found invalid or unenforceable, that part will be limited or removed to the minimum extent necessary, and the rest of the Terms will remain in effect. Our failure to enforce a provision is not a waiver of our right to enforce it later.

You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms in connection with a merger, acquisition, reorganization, sale of assets, financing, or operation of law.

These Terms and any additional terms that apply to your plan or feature are the entire agreement between you and Refero regarding the Service. The [Privacy Policy](/legal/privacy-policy) explains how we process personal information and is incorporated into these Terms only where these Terms expressly say so or where required by law.

## 23. Changes to these Terms

We may update these Terms periodically. Changes apply prospectively from the stated effective date. We will provide any notice or obtain any consent required by law for material changes affecting an existing paid subscription. To the extent permitted by law, continued use after the effective date means you accept the updated Terms.

If you do not agree to updated Terms, you may stop using the Service and cancel before the changes take effect.
